Terms of Service for Cascadia Spanish Learning Inc.

1. Introduction and Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the language-learning services, classes, tutoring, training, practice groups, online lessons, programs, websites, communications, and related offerings provided by Cascadia Spanish Learning Inc. (“Cascadia Spanish Learning Inc.,” “we,” “us,” or “our”).
By registering for, purchasing, booking, attending, or otherwise using any of our services, you agree to be bound by these Terms and all policies referenced in them. If you do not agree, you must not use our services.
If you are using our services on behalf of a child, teen, business, or other organization, you represent and warrant that you have the authority to accept these Terms on their behalf and that all information provided is accurate and complete.
2. Scope of Services
Cascadia Spanish Learning Inc. provides Spanish-language education and related services, which may include:
- Beginner Spanish classes;
- Conversational Spanish practice groups;
- Private one-on-one tutoring;
- Business Spanish training;
- Online Spanish lessons;
- Children and teen Spanish programs; and
- Any other language-learning services we may offer from time to time.
We may modify, suspend, or discontinue any service, class format, schedule, instructor assignment, curriculum, platform, or delivery method at any time, subject to applicable law and any existing prepaid commitments.
Unless expressly stated otherwise, our services are educational in nature and do not constitute immigration, legal, financial, psychological, or professional certification advice.
3. User Obligations and Responsibilities
When using our services, you agree to:
- Provide accurate, current, and complete registration and payment information;
- Maintain the confidentiality of your account credentials, if any;
- Attend scheduled sessions on time and prepare as reasonably required;
- Behave respectfully toward instructors, staff, classmates, and other participants;
- Comply with all posted rules, class instructions, and platform requirements;
- Use our materials and online platforms only for lawful purposes;
- Not disrupt classes, harass others, engage in abusive conduct, or record sessions without our prior written consent and the consent of all required parties, where applicable;
- Ensure that minors enrolled in our children’s or teen programs are supervised as required and have appropriate parental or guardian consent; and
- Comply with all applicable laws, regulations, and these Terms.
You are responsible for any equipment, internet connection, software, or third-party services needed to access online lessons. We are not responsible for failures caused by your device, internet service provider, software, or platform settings.
We reserve the right to refuse service, remove any participant from a class or program, or suspend access without refund in cases of misconduct, abuse, non-payment, or violation of these Terms, subject to applicable law.
4. Payment Terms and Conditions
Fees for our services will be disclosed at the time of purchase, registration, booking, or enrollment, and may vary depending on service type, duration, class size, delivery method, and level of instruction.
- All prices are stated in Canadian dollars unless otherwise indicated.
- Applicable taxes, including GST/HST or other sales taxes, will be added where required by law.
- Payment may be required in advance, at registration, or before each session, depending on the service purchased.
- We may use third-party payment processors. Their terms may also apply to your payment transaction.
- You authorize us and our payment processor to charge the payment method provided for all amounts due, including applicable taxes and fees.
If payment is declined, reversed, charged back, or otherwise not received, we may suspend or cancel access to services until the outstanding balance is paid in full. You are responsible for any collection costs, bank fees, chargeback fees, or similar charges permitted by law.
We reserve the right to change our pricing at any time. Price changes will not affect services already purchased and paid for, unless required by law or expressly agreed in writing.
5. Cancellation and Refund Policy
Our cancellation and refund policy may vary depending on the type of service purchased. Any specific service-level cancellation terms communicated at registration or booking form part of these Terms.
- Private tutoring: Cancellations made within the notice period stated at booking may be rescheduled or refunded at our discretion. Missed sessions or late cancellations may be charged in full.
- Group classes and practice groups: Fees for fixed-term classes or cohorts may be non-refundable once the class term begins, except where required by law or expressly stated otherwise.
- Online lessons: Online sessions are subject to the same cancellation rules as in-person sessions unless otherwise stated.
- Children and teen programs: Refunds and cancellations may be subject to additional safeguards and notice requirements for the protection of minors.
- Business Spanish training: Corporate or group training may be subject to contract-specific cancellation terms and minimum commitment periods.
Where a refund is approved, it will typically be issued using the original payment method, less any non-recoverable processing fees permitted by law. Refund processing times may vary depending on the financial institution.
We may cancel or reschedule a class or session due to insufficient enrollment, instructor unavailability, technical issues, safety concerns, or other operational reasons. In such cases, we will make reasonable efforts to offer a rescheduled session, credit, or refund, as appropriate and subject to applicable law.
Nothing in this section limits any non-waivable consumer rights that may apply under applicable Canadian law.
6. Liability Limitations
To the fullest extent permitted by applicable law, Cascadia Spanish Learning Inc. shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, loss of business opportunities, or interruption of business, arising out of or relating to your use of our services.
To the fullest extent permitted by law, our total aggregate liability for any claim arising out of or relating to the services or these Terms shall not exceed the amount you paid to us for the specific service giving rise to the claim during the three (3) months preceding the event giving rise to liability, or the minimum amount required by applicable law, whichever is greater.
We do not guarantee any specific language-learning outcomes, fluency level, examination result, certification, business outcome, or educational achievement. Progress depends on many factors, including attendance, effort, practice, and prior knowledge.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for gross negligence, wilful misconduct, or any non-excludable statutory liability.
7. Intellectual Property Rights
All course materials, lesson plans, exercises, recordings, slides, worksheets, logos, trademarks, text, graphics, audio, video, software, and other content provided by Cascadia Spanish Learning Inc. are owned by us or our licensors and are protected by Canadian and international intellectual property laws.
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the materials solely for your personal, non-commercial educational use or, where applicable, the internal educational use of an enrolled business client.
- You may not reproduce, distribute, modify, sell, sublicense, publicly display, publicly perform, or create derivative works from our materials without our prior written consent.
- You may not share login access, recordings, or course materials with unauthorized third parties.
- Any feedback, suggestions, or ideas you submit to us may be used by us without restriction or compensation, to the extent permitted by law.
If you upload or provide content to us, you represent that you have the necessary rights to do so and grant us a non-exclusive, worldwide, royalty-free license to use such content as necessary to provide the services and administer our relationship with you.
8. Data Protection and Privacy
We collect, use, disclose, and retain personal information in accordance with applicable Canadian privacy laws, including, where applicable, the Personal Information Protection and Electronic Documents Act (PIPEDA) and any applicable provincial privacy legislation.
We may collect personal information such as your name, contact details, billing information, class preferences, learning progress, attendance records, communication history, and any information necessary to provide our services, manage enrollment, process payments, and maintain records.
We use personal information for purposes including:
- Providing and administering classes, lessons, tutoring, and programs;
- Processing payments and managing accounts;
- Communicating with you about schedules, changes, and service updates;
- Improving our services and customer experience;
- Meeting legal, tax, accounting, and regulatory obligations; and
- Protecting against fraud, misuse, and security incidents.
We may use service providers, including hosting, communications, analytics, and payment processing vendors, some of whom may store or process information outside your province or outside Canada. Where required, we will take reasonable steps to ensure appropriate safeguards are in place.
By using our services, you consent to the collection, use, and disclosure of your personal information as described in our privacy practices and as reasonably necessary to deliver the services. Where consent is required by law, you may withdraw it subject to legal or contractual restrictions and reasonable notice.

9. Force Majeure
Cascadia Spanish Learning Inc. will not be liable for any delay, failure, or interruption in performance caused by events beyond our reasonable control, including but not limited to acts of God, severe weather, fire, flood, power outages, internet or telecommunications failures, labour disputes, pandemic-related restrictions, government actions, civil unrest, war, supply chain disruptions, or acts of third parties.
In such circumstances, we may reschedule sessions, move services online, substitute instructors, modify class formats, or suspend services temporarily. We will make reasonable efforts to notify affected users and provide appropriate alternatives where feasible.
10. Changes to Terms
We may update or revise these Terms from time to time at our discretion. Changes will become effective when posted on our website, communicated to you, or on a later effective date specified by us.
Your continued use of our services after the effective date of revised Terms constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must discontinue use of the services.
11. Applicable Law and Jurisdiction
These Terms and any dispute arising out of or relating to them, the services, or your use of the services shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Subject to any mandatory consumer protection or other applicable legal rights, you agree that the courts located in Ontario, Canada shall have exclusive jurisdiction over any dispute arising from or related to these Terms or the services.

13. Severability Clause
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Any unenforceable provision shall be interpreted, to the extent possible, in a manner that reflects the original intent of the parties and preserves the maximum lawful effect of these Terms.
These Terms constitute the entire agreement between you and Cascadia Spanish Learning Inc. regarding the subject matter hereof and supersede any prior or contemporaneous understandings, communications, or agreements relating to the same subject matter, except for any separate written agreement signed by authorized representatives of Cascadia Spanish Learning Inc.
